Welcome to XpacePlus. Please read and follow the "XpacePlus Terms of Service" (hereinafter referred to as "the Terms"). Please carefully read and fully understand the contents of the Term. The Terms is an agreement that operates between you (hereinafter collectively referred to as "user", "you") and AUO Display Plus Corporation ("the Company") when you register an account before using the XpacePlus service ("the Service"). When you register or start using the Service, you are deemed to have read, understood and agreed to the contents of the Terms.

You are not authorized to use XpacePlus related services unless you have read and accepted all the clauses of the Terms.

歡迎您使用 XpacePlus 的相關服務！為使用 XpacePlus 的相關服務，您請閱讀並遵守《XpacePlus使用者服務條款》（以下合稱「本條款」）。請您務必審慎閱讀、充分理解各條款內容。本條款是您（以下合稱「使用者」、「您」）與達擎股份有限公司（以下合稱「本公司」）之間在使用 XpacePlus 服務（以下合稱「本服務」）之前，註冊 XpacePlus 帳號時簽署的條款。當您註冊完成或開始使用本服務時，即表示您已閱讀、了解並同意接受本服務條款之所有內容。

除非您已閱讀並接受本條款所有條款，否則您無權使用 XpacePlus 的相關服務。

1. Important Notice 重要須知

1. When you register XpacePlus, you are deemed to have read the contents of the Terms and its subsequent modifications and changes, understood and agreed to the rights and obligations stipulated in the Terms, and are bound by the Terms. IF YOU HAVE DOUBTS ABOUT THE TERMS OR DISAGREE WITH ANY CONTENT OF THE TERMS, PLEASE DO NOT REGISTER AN XPACEPLUS ACCOUNT. Once you registered XpacePlus, you shall follow the Terms to use the relevant services.

若您完成註冊XpacePlus的使用者帳號，視同您已經閱讀本條款的所有內容及其後之修改變更，理解並同意本條款所約定的權利及義務，並受本條款的約束。如您對本條款存有疑義或不同意本條款約定內容，則請勿註冊XpacePlus 使用者帳號。您完成註冊之後，應當遵守本條款使用相關服務。

2. After registering an XpacePlus account, unless requirements of separate activation permission by each sub-module, you are entitled to use individual services of each sub-module of XpacePlus through the account. When you use each individual service, you are deemed to accept and agreed to be bound by the the rights and obligations stated in the Terms. You shall be fully responsible for all behavior and performance of your account.

註冊XpacePlus帳號後，除非子模組要求單獨開通權限，您有權利用該帳號使用XpacePlus 各個模組的單項服務，當您使用各單項服務時，您的使用行為將被視為您接受本條款聲明的權利及義務，即同意受本條款的約束。您應當對使用者帳號進行的所有活動和事件負法律責任。

The Company reserves the right to add and amend the content of the Terms at any time. Any addition and amendment of the Terms will become effective forthwith upon being promulgated on XpacePlus. Please pay attention to such addition and amendment at any time. You are assumed to have read, understood and agreed to these post-amendment terms if you continue using the Service after promulgation.

本公司有權於任何時間修改或變更本服務條款之內容，並公告於XpacePlus上，請您隨時注意該等修改或變更。若您於任何修改或變更後繼續使用本服務，則視為您已閱讀、了解並同意接受該等修改或變更。

1. The email account is limited to the legitimate use of XpacePlus registration for user himself/herself. User shall not gift, lend, rent, transfer or sell his/her account to any third party. Any behavior that is performed under user’s registered account is deemed the behavior taken by user himself/herself and user shall be fully responsible for such behavior. The Company is entitled to terminate the account without prior notice once the Company finds out that the user is not the initial registrant of the account. In this event, the Company assumes not any responsibility and user shall hold any of his/her own loss resulting from such termination includes but not limit to the interruption of communication and loss of his/her data.

電子郵件帳號僅限於使用者本人於註冊XpacePlus時正常合法使用，禁止贈與、借用、租用、轉讓或售賣予他人使用。任何經使用者帳號、密碼予以登入的行為，均視為使用者本人的登入，使用者應當對自己帳號的一切行為承擔責任。如果本公司發現使用者並非帳號初始註冊人，本公司有權在未通知本人的情況下回收該帳號而無需向該帳號使用人承擔法律責任，由此帶來的包括並不限於使用者通訊中斷、使用者資料清空等損失由使用者自行承擔。

2. You are obliged to put your account and password in careful custody. You shall be fully responsible for your account and password, including the loss of your data and all other losses. If you discover an unauthorized use of your account without permission, you shall immediately keep XpacePlus informed forth with so that the Company can take counter measures as necessary.

您應當妥善保管自己的帳號、密碼，就所註冊帳號及密碼下之一切活動負全部責任，包括使用者數據的損失以及其他所有的損失由使用者自行承擔。使用者須重視帳號密碼保護。您如發現他人未經許可使用您的帳號時應當立即通知XpacePlus。

3. User shall regularly update strong password to maintain account security. If you fail to sign in XpacePlus, you can notify XpacePlus immediately by filling the form with your registration information to apply for account recovery. XpacePlus account recovery mechanism is only responsible for identifying the consistency between the information filled in the form and the data recorded in the system, not identify whether the applicant is the real account holder. The Company will not be responsible for any liabilities, losses, or damages arising out of the unauthorized use of your passwords. It is user's responsibility to manage the account and password. Any assistance provided by the Company does not necessarily suggest that the Company is liable or agrees to guarantee the account will be recovered or compensate your damage, either explicitly or implicitly.

使用者應定期更新能增加帳號安全性的個人密碼保護資料。您如發生遺失帳號或忘記密碼之情形，可遵照XpacePlus的申訴途徑，憑註冊資料填寫申訴單向XpacePlus申請找回帳號。XpacePlus的密碼找回機制僅負責識別申訴單上所填資料與系統記錄資料的正確性，而無法識別申訴人是否是真正帳號使用權人。對使用者因被他人冒名申訴而致的任何損失，本公司不承擔任何責任，知曉帳號及密碼保管責任在於使用者，本公司所提供之協助，不得解釋為保證遺失帳號或忘記密碼後一定能通過申訴找回帳號，亦不得解釋為有明示或默示擔保或同意賠償之表示。

4. You are required to provide true, accurate, current and complete information about yourself if prompted and requested by a registration process of service account. You shall hold any and all liability caused by any illegal, untrue or inaccurate information you filled. You shall constantly update the registration information to ensure your information be detailed, true and accurate. All original input data will refer to the information you filled for account registration. The Company is not responsible for any problems caused by inaccurate registration information you filled.

使用者保證註冊帳號時填寫的身份資訊為真實、正確且完整，任何非法、不真實、不準確的使用者資訊所產生的責任由使用者自行承擔。使用者應不斷更新註冊資料，以符合及時、詳盡、真實、準確的要求。所有原始輸入的資料將引用使用者的帳號註冊資料。如果因使用者的註冊資訊不真實而引起的問題，以及對問題發生所帶來的後果，本公司不負任何責任。

1. In addition to complying with the Terms, you agree to abide by all applicable laws and agree the following actions are strictly prohibited:

   除了遵守本條款之約定外，您同意遵守一切適用法律，並同意不從事以下行為：

   1. Publish, transmit, disseminate or store content that endangers national security or social stability, or any content or settings that are fake, insulting, defamatory, pornographic, violent, disturbing, or violates national laws, regulations and policies. Setting up a web name that contains the above content is also prohibited.

      利用XpacePlus 服務產品發表、傳送、傳播、儲存危害國家安全、社會穩定的內容，或任何不實、侮辱、誹謗、色情、暴力、引起他人不安及任何違反國家法律法規政策的內容或者設置含有上述內容的網名。

   2. Transmit, disseminate, store any materials and other means that infringe the intellectual property rights, commercial confidentiality rights, portrait rights, privacy rights and other rights of any third party.

      利用XpacePlus 發表、傳送、傳播、儲存等方式侵害他人智慧財產權、商業機密權、肖像權、隱私權及其他權利。

   3. Any attempt to endangers computer network security, including but not limited to: using unauthorized data or entering unauthorized servers/accounts; entering public computer networks or any third party's computer systems without permission and deleting, modifying, adding information; probe, scan or detect the weaknesses of XpacePlus system or website, or destroy network security without permission; interfere or destroy the normal operation of XpacePlus system or website, and intentionally spread malware or virus that disrupt and interfere normal network information services; counterfeit the name of TCP/IP data packet.

      進行任何危害電腦網絡安全的行為，包括但不限於：使用未經許可的數據或進入未經許可的服務器/帳號；未經允許進入公眾電腦網絡或者他人電腦系統並刪除、修改、增加存儲資訊；未經許可，企圖探查、掃描、測試XpacePlus系統或網路的弱點或其它實施破壞網絡安全的行為；企圖干涉、破壞XpacePlus系統或網站的正常運行，故意傳播惡意程序或病毒以及其他破壞干擾正常網路資訊服務的行為；偽造TCP/IP 封包名稱或部分名稱。

   4. Undermines the fairness of XpacePlus services or otherwise affects the normal order of the application such as obtain improper and illegal benefits through BUG, or reveal BUG to the public by Internet or other means.

      進行任何破壞XpacePlus 服務公平性或者其他影響應用正常秩序的行為，如利用BUG（又叫「漏洞」或者「缺陷」）來獲得不正當的非法利益，或者利用網際網路或其他方式將BUG等公之於眾。

   5. Carry out any commercial activity such as publishing advertisements, selling goods, or any other acts that illegally infringe the interests of XpacePlus.

      進行任何諸如發布廣告、銷售商品的商業行為，或者進行任何非法侵害XpacePlus利益的行為。

   6. Conduct any other acts that violate the law or infringe the legitimate rights and interests of any other individuals, companies, social groups and organizations.

      進行其他任何違法或侵犯其他個人、公司、社會團體、組織的合法權益的行為。

If the Company notice or are brought to the attention of your violation of the aforementioned terms or any other illegal behavior, the Company reserves the right to suspend, cancel the service or cancel your user qualification at any time with or without notice. You shall be fully responsible for your behavior. The Company will not bear any responsibility and reserves the right to claim compensation of any loss that caused by your behavior above.

如發現使用者有以上行為或其他任何違法行為，本公司有權於通知或未通知之情形下，隨時暫停、取消服務或取消使用者的適用資格。如使用者從事以上行為或其他任何違法行為時，本公司將不承擔任何責任，一切責任均需由使用者個人承擔，且因使用者的行造成本公司的損失時，本公司有權要求使用者予以賠償。

1. User understands that there may be anonymous or pseudonymous information containing threatening, defamatory, objectionable or illegal content or behavior or infringement of user’s rights (including intellectual property rights) when using the XpacePlus service. User shall bear his/her own risk of these circumstances. The Company does not guarantee, whether express or implied, the authenticity, rationality, suitability for a particular purpose, ownership and non-infringement implied warranties of all relevant information. The Company shall not be liable for any direct, indirect, incidental, special and consequential damages resulting from improper or illegal use of the Service by user.

使用者明白，在使用XpacePlus服務時可能存在有來自任何他人的包括威脅性的、誹謗性的、令人反感的或非法的內容或行為或對他人權利的侵犯（包括智慧財產權）的匿名或冒名的資訊風險，使用者須自行承擔以上風險，本公司對服務不作擔保，不論是明確的或隱含的，包括所有有關資訊真實性、適當性、適於某一特定用途、所有權和非侵權性的默示擔保和條件，對因此導致任何因使用者不正當或非法使用服務產生的直接、間接、偶然、特殊及後續的損害，不承擔任何責任。

2. User must abide by relevant national laws and policies to safeguard national interests and protect national security, and follow the Terms. User shall hold any and all liability caused by breach of the law, policies and the Terms. The breach of conduct includes but not limited to speech, publication and transmission.

使用XpacePlus服務必須遵守國家有關法律和政策等，維護國家利益，保護國家安全，並遵守本條款，對於使用者違法或違反本條款的使用(包括但不限於言論發表、傳送等)而引起的一切責任，由使用者負全部責任。

3. XpacePlus will use various security technologies and procedures to establish a sound management system to protect users' personal information from unauthorized access, use or disclosure. Without your permission, XpacePlus will not disclose your personal information to any company, organization and individual unless otherwise stipulated by laws, regulations or otherwise agreed in the Terms.

XpacePlus將運用各種安全技術和程序建立完善的管理制度來保護使用者的個人資訊，避免遭受未經授權的訪問、使用或披露。未經使用者的同意，XpacePlus 不會對任何公司、組織和個人披露您的個人資訊，但法律法規另有規定或本條款另有約定時除外。

4. You understand that XpacePlus services, like most network products, are susceptible to various information security issues, including but not limited to the following risks and you shall solely bear the risk:

   使用者理解XpacePlus的服務同大多數網路產品一樣，易受到各種安全問題的困擾，包括但不限於會產生如下風險，使用者應當自行承擔風險責任：

   1. Your detailed personal information which is disclosed by yourself when using the Service is improperly used by outlaws and then brings trouble to you;

   在使用服務時透露詳細個人資料，被不法分子利用，造成現實生活中的騷擾；

   2. You disclose your information, account number or password intentionally or you are carelessly tricked by others to disclose your information that cause your information are known to any third party; or your account number and password are deciphered;

   使用者泄露或遭哄騙致使其資訊或帳號、密碼被其他任何第三人得知，或使用者帳號、密碼被破譯；

   3. You downloaded and installed any software with viruses such as "Trojan Horses" that threatens the security of information and data on your personal computer, and then threatens the use of the Service.

   下載安裝的其它軟體中含有「特洛伊木馬」等病毒，威脅到使用者個人電腦上資訊和數據的安全，繼而威脅使用者對本服務的使用。

5. Users understand that XpacePlus reserves the right to modify, interrupt or terminate the Service after announcing maintenance notice without prior notice to user for the needs of the overall operation of the Service, and the Company will not bear any responsible for any compensation to user or any third party.

使用者明白，XpacePlus 為了整體服務運營的需要，有權以公告維護通知後修改、中斷或終止服務，而不另行通知使用者，對此本公司無須向使用者或第三方承擔任何賠償責任。

6. Users understand that the instability of Internet technology may lead to government policy control, virus intrusion, hacker attack, server system crash or other risks that cannot be solved by current technology and may lead to service interruption or losses of user data of XpacePlus. The Company will not be liable for any damages or losses resulted from the factors that are not attributed to the Company.

使用者理解，網際網路技術的不穩定性，可能導致政府政策管制、病毒入侵、駭客攻擊、服務器系統崩潰或者其他現今技術無法解決的風險發生，致使XpacePlus 服務中斷或使用者數據損失，本公司將不對此非因本公司因素引起的損失承擔責任。

7. The Company is not responsible for other possible risks that are not caused by the Company.

其他非因本公司原因所導致的可能存在的風險，本公司亦不負擔責任。

8. By registering XpacePlus account, you understands the statement above and the probability of occurrence of a risk. You agree that you shall be solely responsible for any losses caused by the above risks, and the Company shall not be liable for any compensation to you.

使用者註冊XpacePlus 帳號即表示理解上述聲明及全部風險發生的可能性，並且同意因上述風險造成損失時，由使用者自行承擔全部責任，本公司無須向使用者承擔任何賠償或補償責任。

1. The intellectual property rights (including but not limited to patent rights, copyrights and know-how) of programs, software, logos and website content used in XpacePlus service including but not limited to information, data, pictures, files, website structure, web design and member content, etc., are owned by the Company or other rights holders in accordance with the law. No one may modify, reproduce, distribute, publish, perform engineering reverse or reverse translation. If you want to quote or reproduce the above-mentioned information, unless it is expressly stipulated by law, you must lawfully obtain the prior written consent of the Company or other rights holders. If you violate the foregoing provision, you shall be liable for any damages to the Company. Your registration to use the Services provided by XpacePlus does not mean that the Company grant you any intellectual property rights above.

XpacePlus服務所使用之程式、軟體、標誌及網站內容，包括但不限於：資訊、資料、圖片、檔案、網站架構、網頁設計及會員內容等，均由本公司或其他權利人依法擁有其智慧財產權，包括但不限於專利權、著作權與專有技術等，任何人不得逕自修改、重製、散布、發行、公開發表、進行還原工程或反向組譯。若您欲引用或轉載前述資料，除明確為法律所允許者外，均須依法事前取得本公司或其他權利人之書面同意。如有違反，您應負損害賠償責任。您註冊使用XpacePlus 提供的服務，並不代表本公司對您做出上述智慧財產權的任何授權許可。

2. You can only use intellectual property rights of XpacePlus within the scope authorized by the Terms and the corresponding license agreement when you are using XpacePlus services. Unauthorized use beyond such scope constitutes an infringement to XpacePlus.

使用者使用XpacePlus 服務只能在本條款以及相應的授權許可協議授權的範圍使用XpacePlus 智慧財產權，未經授權超範圍使用構成對XpacePlus 的侵權。

3. If user infringes the rights and interests of the Company's intellectual property interests without permission of the Company, the Company is entitled to hold user's legal responsibility and claim compensation from user.

   未經本公司許可，使用者侵犯本公司智慧財產權益，本公司有權追究使用者的法律責任，並要求使用者予以賠償。

4. When using XpacePlus services, the intellectual property rights of user’s original information such as text, pictures and videos is owned by user. You understand that once you upload, input or provide any information to XpacePlus, you agree to authorize XpacePlus the right to use such information or works you publish, upload on the XpacePlus service platform If you have no legal rights to authorize others to use, modify, reproduce, publicly broadcast, distribute, or publicly publish a certain material, and sub-authorize the aforementioned rights to a third party, please do not upload, transmit, or input the material to XpacePlus. You also guarantee that the use, modification, distribution, dissemination, reproduction, public display or sublicense of this information will not infringe the relevant rights of any third party, otherwise you shall be liable for damages to the Company.

   使用者在使用XpacePlus 服務時發表上傳的文字、圖片、影片等使用者原創的資訊，此部分資訊的智慧財產權歸屬於使用者。您同意任何資料一經您上載、輸入或提供予XpacePlus時，即表示您已同意授權XpacePlus有權對您發表的、上傳的資訊或作品在XpacePlus 服務平臺上使用。若您無合法權利得授權他人使用、修改、重製、公開播送、改作、散佈、發行、公開發表某資料，並將前述權利轉授權第三人，請勿擅自將該資料上載、傳送、輸入或提供至XpacePlus。您並保證本服務使用、修改、發行、散布、重製、公開展示或轉授權該資料，不致侵害任何第三人之相關權利，否則應對本公司負損害賠償責任。

1. Please do not disclose your various property account numbers, financial cards, credit cards, third-party payment account numbers, passwords and other important data in XpacePlus service, otherwise you will be solely responsible for any loss caused by such disclosure.

   請您切勿在XpacePlus 服務中透露自己的各類財產帳號、金融卡、信用卡、第三方支付帳號及對應密碼等重要資料，否則由此帶來的任何損失由您自行承擔。

2. Your account number and password are confidential information. XpacePlus shall take active measures to protect user's account number and password from unauthorized access.

   您的帳號、密碼屬於保密資訊，XpacePlus 應當採取積極的措施保護使用者帳號、密碼的安全。

3. Your registration information will be protected by XpacePlus as a trade secret. However, you understand that due to rapid development and technology update of the internet, XpacePlus is not responsible for the leakage of your information arising from, directly or indirectly, causes beyond its control.

   您的註冊資訊將被XpacePlus作為商業秘密進行保護。但您明白，網際網路的開放性以及技術更新非常快，非XpacePlus 可控制的因素導致使用者資訊洩漏時，XpacePlus不承擔責任。

4. When you use XpacePlus service, you are not allowed to publish or upload any information that you consider to be private onto XpacePlus, nor to transmit such information to any third party through XpacePlus service. You are solely responsible for any privacy leakage caused by your behavior.

   您在使用XpacePlus 服務時不可將自認為隱私的資訊發表、上傳至XpacePlus，也不可將該等資訊通過XpacePlus 的服務傳播給其他人，若您的行為引起的隱私洩漏，由您承擔責任。

5. When user registers or uses XpacePlus, the Company will ask for user’s personal or other relevant information. All personal and other relevant information collected by the Company will be used only for the specific purpose of the Service in accordance with the provisions of laws and regulations related to personal information protection, and will not arbitrarily disclosed to any third parties.

   當使用者註冊或使用XpacePlus時，本公司會請使用者提供相關的個人資料或其他資料。本公司所蒐集的所有個人資料或其他資料，將依個人資料保護相關法規，只就其特定目的作為承辦所提供服務之用，不會任意對其他第三者揭露。

6. XpacePlus assume not any responsibility for the following circumstances:

   就下列相關事宜的發生，XpacePlus不承擔任何法律責任：

   1. XpacePlus discloses your personal information in accordance with the law or the requirements of relevant government and judicial authorities;

      XpacePlus根據法律規定或相關政府、司法機關的要求提供您的個人資訊；

   2. Any leakage of personal information arising from the disclosure of password or sharing registered account with others by user himself/herself, or any leakage of personal information which is not caused intentionally or negligently by XpacePlus;

      因使用者將密碼告知他人或與他人共享註冊帳號，由此導致的任何個人資訊的洩漏，或其他非因XpacePlus 故意或過失所導致的個人資訊的洩漏；

   3. Any leakage of personal information arising out of circumstances including, without limitation, hacker attack, virus invasion, computer failure and other circumstances that beyond XpacePlus’ reasonable control;

      任何由於駭客攻擊、電腦病毒侵入等不可抗力因素造成的資訊洩漏；

   4. User authorizes the Company to disclose or the Company discloses user’s personal information in accordance with the Terms;

      因使用者授權公司披露或公司根據本條款約定予以披露；

7. Others 一般條款

1. The Terms constitutes a complete agreement of XpacePlus service between you and the Company, and supersedes any previous agreement between you and the Company regarding the Service. The Terms shall be governed by, construed and enforced in accordance with the laws of Taiwan. Any disputes arising from, relating to or in connection with the Terms shall be resolved by Taiwan Hsinchu District Court.

   本條款構成您與本公司就您使用本服務之完整合意，取代您先前與本公司間有關XpacePlus服務所為之任何約定。因本協議引起之疑義、爭議或糾紛，以臺灣法律解釋及適用之；任何由本協議所生或與本協議有關之爭議，雙方同意臺灣新竹地方法院為第一審管轄法院。

2. Headings used in the Terms are inserted for convenience of reference only and shall not affect the interpretation of the respective provisions.

   本條款內的所有條款標題僅為閱讀方便，本身並無實際涵義，不能作為本條款涵義解釋的依據。

3. The failure of the Company to insist upon strict adherence to any provision of the Terms shall not be considered a waiver. Should any provision of the Terms be determined to be invalid or illegal for whatever reason, such provision(s) shall be null and void; provided, however, that the remaining provisions of the Terms shall be unaffected thereby and shall continue to be valid and enforceable.

   本公司未行使或執行本條款任何權利或規定，不構成前開權利或規定之棄權。若任何本條款之規定，經有管轄權之法院認定無效，則該規定無效、不合法或無執行力不影響本合約其他規定，其他規定仍具有完全之效力。

4. The Company will not be liable to user for any indirect, incidental, consequential, punitive or special damages arising out of the Terms unless otherwise required by law. In the event that the Company is held liable to user, the Company will only be entitled to compensate user’s direct and actual damages and the compensation shall be limited to the amount of service fee paid by user.

   除非法律另有規定，本公司不對使用者因本條款所生之任何間接、附隨、衍生、懲罰性或特別損害等負任何賠償責任。若本公司因本服務須對使用者負擔損害賠償責任時，亦僅於使用者已付對價範圍內負直接且實際損害之賠償責任。

Welcome to XpacePlus. In order to ensure the security of your personal information, we have established XpacePlus Privacy Protection Policy (“the Privacy Policy”). In the Privacy Policy, we’ve provided detailed information on when and why we collect personal information, how we use it, the limited conditions under which we may disclose it to others, and how we keep it secure. Please read the Privacy Policy carefully. When you start using XpacePlus, you are deemed to have read, understood and agreed to the contents of the Privacy Policy. If you disagree with any content of the Privacy Policy, please do not use XpacePlus service.

歡迎使用XpacePlus，我們重視您的隱私權，為了確保您的個人資料安全，讓您能夠安心使用XpacePlus的各項服務，我們訂立了XpacePlus隱私權與個資保護政策(下稱「本政策」)。本政策將幫助您了解我們如何蒐集、使用及保護我們透過XpacePlus服務自您所取得的個人資料，我們亦將說明我們如何揭露、傳輸您的個人資料及其對象。請您詳細閱讀XpacePlus隱私權與個資保護政策。當您閱讀本隱私權保護政策並使用本服務時，即表示您已閱讀、了解並同意接受XpacePlus隱私權與個資保護政策之所有內容，若不同意則請勿使用本服務。

1.1 We collect information with the intention to provide better services to all users. You understand and agree that XpacePlus may collect your personal information as below:
